These Terms of Service ("Terms") govern your access to and use of the website located at gpstimate.com, preview demonstrations, and related public online services (collectively, the "Site") operated by GPStimate LLC ("GPStimate," "we," "us," or "our"). By accessing or using the Site, you agree to be legally bound by these Terms.

2. Scope & Service Agreements

The Site provides informational overviews, demonstrations, and prospect intake for GPStimate's estimating and takeoff platform. Access to our commercial software, mobile applications, seat licensing, and paid subscription tiers is governed separately by the applicable customer subscription agreement and commercial terms agreed upon during account setup.

3. Intellectual Property & Acceptable Use

All text, graphics, logos, user interfaces, visual design, and software code on the Site are the proprietary property of GPStimate LLC or its licensors and are protected by applicable intellectual property laws.

You agree that you will not, and will not permit any third party to:

  • Copy, modify, reverse engineer, decompile, or attempt to extract source code from the Site;
  • Use any robot, spider, scraper, or other automated mechanism to extract data or access the Site without authorization;
  • Interfere with or disrupt the operation, security, or networks connected to the Site; or
  • Use the Site in any manner that violates applicable law, regulation, or third-party rights.

4. Estimating & Location Technology Disclaimer

Features demonstrated on the Site, including satellite imagery analysis, AI-assisted roof segmentation, and location-based takeoff tools, are intended for commercial estimating assistance. Estimating calculations, measurements, and recommendations are subject to field variations. Users remain solely responsible for independent verification of measurements, field conditions, and manufacturer specifications before executing construction contracts or placing material orders.

5. Disclaimers & Limitation of Liability

THE SITE AND ALL DEMONSTRATIONS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GPSTIMATE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GPSTIMATE LLC, ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in El Paso County, Texas, and each party irrevocably submits to the exclusive personal jurisdiction of such courts.
